These terms are the agreement between you and Bhushan Prakash Khanale, [OWNER: business contact address, subject to lawyer review], for the use of tidy notebook cloud at app.tidynotebook.com. In these terms, "we" and "us" mean Bhushan Prakash Khanale. Read them with the privacy notice and the refund policy. When you make an account, you accept these terms and the privacy notice.
These terms are for tidy notebook cloud only. When you run tidy notebook self-hosted on your own server, these terms do not apply.
Your account
- You must be at least [OWNER: minimum age] years old.
- Use an email address that is yours. We send the messages of your account to it.
- Keep your password secret. You are responsible for what your account does.
- One account is for one person.
Plans and payment
- tidy notebook cloud has two plans. Standard is for one person. Pro is for a team.
- The pricing page shows the price, the limits and the features of each plan, for a month and for a year. The price is for each seat.
- There is no free plan and no trial. The refund policy does the work of a trial.
- Prices are in US dollars and do not include tax.
- Paddle is the merchant of record. Paddle sells the plan to you, takes the payment, adds the tax of your country and pays it, and writes each invoice.

- A plan continues until it ends. Paddle charges it again at the start of each month or each year.
A new account
A new account starts locked. It opens when a plan covers it. A locked account can sign in, export its notes, pay for a plan, and remove itself. It cannot save a change.
When no plan covers a new account, we remove the account 30 days after you make it.
The billing owner and the seats
- The account that pays is the billing owner. It holds the first seat, and it cannot leave that seat.
- On Pro, the billing owner invites a person to a seat by email address. The person accepts with an account of that address.
- A seat covers one account. The accounts of one plan share no notes.
- A seat ends when the billing owner removes the member, when the member leaves, or when the member removes the account. The account of the member is then locked.
- The billing owner changes the plan, the interval and the number of seats on the billing pages at billing.tidynotebook.com. The page shows the amount before the change. The change applies at once, and Paddle charges or credits the part of the period that is left.
- The billing owner cannot give the plan to another account.
- When the billing owner removes their account, the plan ends at once. Each member then gets a mail.
When a payment fails or a plan ends
- When a payment fails, Paddle tries it again. After the last try, Paddle cancels the plan.
- The billing owner cancels the plan on the billing pages, through the customer portal of Paddle. [OWNER: state when a cancelled plan ends]
- When a plan ends, each account that it covered is locked. The account can still sign in, export its notes, pay for a plan, and remove itself.
- A locked account cannot save a change. A change that you make stays on your device, and it goes to the server when the account opens again.
- The published links of a locked account close. They open again when the account opens again.
- We remove a locked account and every note in it 90 days after its plan ended.
- Before we remove an account, we send a mail 30 days and 7 days before the removal. When a plan covers the account again before the removal, the removal stops.
Your notes
Your notes are yours. You give us the right to store, copy, show and send them only as far as the service needs to work for you. For example, we sync them to your devices, and we show a link that you publish. This right ends when you delete the notes or remove your account. A copy in a backup stays until that backup goes.
Keep your own copy of notes that are important to you. Select Export all notes in Settings to download them at any time.
Storage and limits
- Each plan has a storage limit, a limit for text and history, a limit for the transfer of published pages each month, and a limit for downloads each month. The pricing page states each limit.
- When your account is full, you cannot save new content until you delete some.
- After your published pages reach the transfer limit of a month, they close until the next month starts in UTC.
- After your account reaches the download limit of a month, an export, a picture and a full sync wait until the next month starts in UTC. The application continues to work.
- The whole service also has limits that keep its cost safe. When the service reaches one, a feature can stop for every account until the next month.

What you must not do
Do not use the service to:
- store or publish content that is illegal, or that infringes the rights of another person
- publish a page that asks for a password, a payment or personal data under a false name
- publish or store a harmful file
- attack, threaten or harass a person
- send spam
- get into an account or a system that is not yours, or make the service slow or unavailable
- avoid a limit of the service, for example with many accounts
Published links
A published link shows your notes to any person who has its address. You are responsible for what you publish. Any reader can report a published page. We can take a link down when it breaks these terms. You then see that the link was taken down.
Changes to the service
We can change the service. We try to keep it available, but we do not promise that it is always available or free of faults.
When an account stops
You can remove your account in Settings at any time. Your notes then go for good.
We can disable an account that breaks these terms. We can also remove it after we tell the owner of the account and give a reasonable time to export the notes. We do not wait when the law or the safety of other people does not let us wait.
Liability
We give the service as it is. As far as the law allows, we are not liable for an indirect loss or for lost data. Nothing in these terms limits a liability that the law does not let us limit, or a right that you have as a consumer.
Changes to these terms
When these terms change, their version changes. The application then shows the new version before your notes open. You accept it, or you export your notes and remove your account.
